Introduction

These Terms of Service ("Terms") govern your access to and use of the SonicR1 platform, website, applications, and related technologies (collectively, the "Service"). By accessing or using SonicR1, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

To use SonicR1, you must: • be at least 18 years old • have the legal authority to enter into this agreement • if representing a company, be authorized to act on its behalf • not be prohibited by applicable laws from using AI or communication-analysis tools Minors are not permitted to use the Service.

2. Account Registration

To use the Service, you must create an account. You agree to: • provide accurate and complete information • maintain the security of your account • notify us immediately of any unauthorized access • not share your account with others We reserve the right to deny or disable accounts at our discretion, especially during the public beta.

3. Public Beta, Registration & Plans

SonicR1 is currently in public beta. • Registration is open — anyone eligible can create an account and use the free tier. • Paid self-service plans can be purchased in-app at the prices shown at checkout. Billing, plan changes, renewals, and cancellations are managed in your billing settings and processed by our payment provider. • Enterprise plans are not self-service and are arranged with our sales team. • Because the Service is in beta, features may change, be added, removed, or break without notice, and there is no uptime guarantee. • Feedback is welcome but optional. We may change plans, pricing, or beta features at any time, and we reserve the right to deny, suspend, or disable accounts at our discretion.

4. Use of the Service

You agree NOT to: • use the Service for unlawful activities • upload or record audio without proper rights or consent • engage in harassment, defamation, or misuse of AI • reverse-engineer, attempt to bypass security, or exploit vulnerabilities • use SonicR1 in unsafe, high-risk environments (e.g., medical diagnosis, legal compliance decisions, life-critical systems) We may suspend accounts that violate these rules.

5. AI and Machine Learning Processing

SonicR1 uses advanced AI and machine learning technologies to provide transcription, analysis, and smart Co-Pilot functions. 5.1 Data Processing Your data may be processed for purposes including: • Real-time and offline transcription • Conversation analysis and insights • Pattern detection and summarization • Coaching-style suggestions and analytics • System improvement and quality monitoring 5.2 Third-Party AI Providers We use trusted, enterprise-grade AI processors, including but not limited to: • Speech-to-text providers • LLMs for text analysis • Infrastructure services for secure data storage and delivery All third-party processors are bound by strict data processing agreements. 5.3 Data Storage Your audio files, transcripts, and metadata may be stored on secure servers for the duration necessary to provide the Service. You may request deletion at any time via your account or via legal@sonicr1.com. 5.4 Your Rights You retain full ownership of your data and may: • request data export • request data deletion • withdraw consent • control what is recorded or uploaded For more, see our Privacy Policy. 5.5 Data Processing Agreement (DPA) Where SonicR1 processes personal data on behalf of a customer (for example call audio, transcripts, and related call data), the SonicR1 Data Processing Agreement is incorporated into and forms part of these Terms. It applies from the start of such processing, on every plan, without a separate signature. A copy of the current standard DPA, including Sub-Processor information, is available on request at legal@sonicr1.com. Custom DPA terms and vendor security questionnaires are handled on the Enterprise plan.

6. User Responsibility for Audio Recording, Uploads & Consent

This section is legally critical. 6.1 You are responsible for obtaining all required consents You must ensure compliance with all applicable laws, including: • call-recording laws • two-party or all-party consent requirements • GDPR and ePrivacy rules • workplace monitoring laws • confidentiality obligations SonicR1 does not monitor your compliance. 6.2 Inform participants When using SonicR1 for audio capture, whether live or uploaded, you must inform all participants and obtain consent when required. This includes: • prospects • customers • colleagues • meeting participants • any person whose voice is being recorded or processed 6.3 Uploaded Audio By uploading audio files, you confirm: • you have the right to upload the content • using the audio does not violate confidentiality, NDAs, or privacy rights • all participants have consented, where required 6.4 Live Audio Streams When using real-time Co-Pilots: • You confirm that turning on audio capture is legally allowed • You assume all risk for improper activation • You must not use the Service where recording is prohibited 6.5 Indemnification You agree to indemnify SonicR1 against claims, penalties, damages, or costs arising from: • unlawful recording • failure to obtain consent • unauthorized uploads • violation of privacy laws • misuse of recordings

7. Acceptable Use Policy

You must not use SonicR1 to: • break the law • perform surveillance without consent • create misinformation • generate harmful, abusive, or discriminatory content • violate intellectual property rights • interfere with system integrity • attempt to harm or overload the platform We may take action including: • warnings • suspension • permanent account termination

8. Intellectual Property

SonicR1 retains all rights in: • software, code, and models • UI, design, branding • algorithms and processing pipelines • proprietary datasets and analytics methods You may not: • copy or reuse the system • extract proprietary features • resell SonicR1 output as a competing service You retain rights to your own uploaded content.

9. Availability & Service Changes

SonicR1 may: • update or modify features • remove or replace features • roll out new versions • perform maintenance that affects uptime • discontinue the free tier or any beta features at any time We do not guarantee: • uninterrupted service • error-free functionality • perfect accuracy of AI results • data retention beyond reasonable periods

10. Security

We implement industry-standard technical and organizational measures, including: • encrypted data storage • encrypted transport (TLS 1.3) • secure key management • access logging • role-based security controls • zero-trust architecture principles However, no system is completely secure, and you use the Service at your own risk.

11. Limitation of Liability

To the fullest extent permitted by law: • SonicR1 is not liable for indirect, incidental, special, or consequential damages • SonicR1 is not liable for loss of profits, data, or business opportunities • The maximum aggregate liability is limited to EUR €50 (or the minimum allowed by law) This limitation does not apply where mandatory statutory liability applies, including liability for intent, gross negligence, or personal injury. SonicR1 is not responsible for: • inaccurate AI outputs • user mistakes in recording or consent • legal violations committed by users • downtime, bugs, or data loss during the beta

12. Termination

We may suspend or terminate your account: • for violating these Terms • for misuse of audio recording • for failure to obtain legal consent • for security concerns • for inactivity during the beta You may delete your account at any time.

13. Governing Law

These Terms are governed by the laws of Germany, excluding conflict-of-law principles. Court of jurisdiction (if required by law): Berlin, Germany.

14. Changes to These Terms

We may update these Terms at any time. We will notify you via email or by updating the "Effective Date" at the top. Continued use of the Service after updates constitutes acceptance.
